Real Estate

We also advise multi-partner legal entities (such as joint ventures, partnerships, and limited liability companies) as necessary to effect specific real estate transactions.

Our primary focus is representation of local and regional real estate developers and investors in development projects throughout California, including residential, commercial, office buildings, shopping centers, and luxury condominiums. We also represent borrowers and lenders in all types of real estate financing arrangements, including renegotiation of financing terms.

Our historic involvement in key real estate development and land-use matters means our firm has developed credibility and relationships that are crucial in negotiating with city councils, planning commissions, boards of appeal, and other regulatory agencies. We deliver expert counsel on all aspects of bankruptcy law, ranging from individual Chapter 7 cases to creditors’ and debtors’ rights in non-judicial debt restructurings, state and federal court receiverships, bankruptcy asset purchases, and Chapter 11 reorganization cases. We are also regularly involved in adversarial litigation (e.g., preferences, equitable subordination, and fraudulent-transfer litigation), debtor in possession financing motions, and relief from automatic stay motions.

We also handle all bankruptcy-related litigation, representing bankruptcy trustees, debtors, and creditors in connection with complex reorganization plans, bankruptcy court asset sales, and the assumption and assignment of executory contracts and leases. We also represent trustees in avoidance matters, including preference actions and fraudulent conveyance lawsuits, and have specific expertise defending the rights of debtors in bankruptcy proceedings.

Our principal, Varand Gourjian, has also represented multiple federal equity receivers appointed at the request of the Securities and Exchange Commission in cases throughout the United States. These cases involve significant investigatory work with respect to fraudulent conduct and substantial recovery efforts to mitigate losses to victimized investors and creditors, analysis of director-level corporate malfeasance, and liquidation of multi-million dollar companies.
